Terms of Service
These Terms of Service ("Terms") govern your access to and use of DevCatalog, including our website, services, and any related tools (collectively, the "Platform"). The Platform is operated by Sacred LLC ("DevCatalog," "we," "us," or "our"). By creating an account, browsing, or using the Platform, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Platform.
1. Key Definitions
- "Buyer": A user who purchases or commissions services from a Seller.
- "Seller": A user who offers services for sale on the Platform.
- "Order": A transaction for services between a Buyer and a Seller through the Platform, including any milestones.
- "Milestone": A separately defined portion of an Order with its own deliverables and approval steps.
- "Content": Listings, profiles, messages, files, reviews, and any other material posted or transmitted through the Platform.
- "Platform Fees": Fees charged by DevCatalog for use of the Platform, including transaction fees and subscription fees.
- "Stripe": Our third-party payment and payout provider (including its connected services).
2. Eligibility and Account Types
You must be at least 13 years old to use the Platform. If you are between 13 and the age of majority in your jurisdiction, you may use the Platform only to the extent permitted by law, and you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf where required.
To sell services as a Seller, you must be at least 18 years old, or have a legal guardian complete any required sign-off and payment onboarding on your behalf (including any Stripe requirements). We may require proof of eligibility and may restrict or terminate access if we cannot verify it.
The Platform is currently intended for users located in the United States and Canada. You are responsible for complying with applicable laws in your location.
3. Accounts, Security, and Verification
You must create an account to place Orders, sell services, or use certain features. You agree to provide accurate information and keep it up to date. You are responsible for all activity on your account and for maintaining the confidentiality of your credentials.
One account per person is permitted unless we approve otherwise in writing. Creating or using additional accounts to evade enforcement or restrictions is prohibited.
Seller identity verification (KYC) is required through Stripe's onboarding process. DevCatalog does not store Seller KYC documents internally; they are handled by Stripe subject to Stripe's policies.
You may not bypass bans or restrictions using VPNs, proxies, spoofing, or similar techniques. We may use reasonable methods to detect and prevent evasion.
4. Marketplace Rules and Your Responsibilities
The Platform allows Buyers to hire freelance developers and related professionals and allows Sellers to offer services through listings. Sellers are independent contractors and are not employees, agents, or partners of DevCatalog.
You agree that all payments for Orders must be processed through the Platform. Off-platform payments are not allowed and may result in strikes, suspension, or termination.
Off-platform contact (for example, voice calls or external chat) may occur at your own risk, but DevCatalog may not consider off-platform communications, scope changes, or deliverable agreements when evaluating a dispute. Keep important requirements, approvals, and deliverables documented on-platform.
5. Orders, Milestones, Delivery, and Acceptance
Orders are generally fixed-price and may include optional milestones. Each Order should clearly describe the scope, deliverables, timeline, and licensing terms.
Sellers are responsible for meeting agreed deadlines. If a deadline is missed, the Buyer may request cancellation and/or open a dispute. Missed deadlines may negatively impact a Seller's delivery or performance rating.
Buyers are responsible for timely reviews and for providing required information, assets, or approvals. Delays caused by Buyer inaction may extend timelines.
6. Payments, Holds, Fees, and Subscriptions
Payments are processed by Stripe. By using the Platform, you agree to comply with Stripe's applicable terms and policies. DevCatalog is not a bank and does not provide banking services.
Buyer payments may be held after an Order is marked complete to allow time for dispute review. As a standard practice, Buyer payments to Sellers may be held for up to 14 days following Order completion (or longer if a dispute is opened), and are released when the hold period ends and any disputes are resolved.
Seller payouts occur through Stripe and may be scheduled bi-weekly. Actual payout timing may vary based on Stripe processing, verification status, risk holds, and applicable payment method constraints.
Platform Fees are generally paid by the Seller and are deducted from the Seller's payout when an Order (or milestone) is completed and released. In certain cases (such as cancellations or refunds), Buyers may incur fees (including a cancellation fee of up to 10%) on a case-by-case basis.
Transaction fees follow a tiered schedule that may decrease as a Seller's paid Platform Fees increase. Once a Seller reaches a monthly Platform Fee cap (currently $100 per calendar month), the transaction fee may be reduced to 0% for the remainder of that month. The current fee schedule will be shown on the Platform and may change as described in Section 20.
Subscription plans (for example, Bronze, Silver, and Gold) are billed as displayed at purchase. Subscription fees are generally non-refundable except where required by law or expressly stated on the Platform.
You are responsible for all taxes, duties, and government assessments related to your use of the Platform and any payments received or made.
7. Cancellations, Refunds, and Disputes
A Buyer may request cancellation for reasons provided in the Platform workflow (for example, missed deadlines or changed requirements). Cancellation requests may require the Seller to acknowledge the request and/or provide completed deliverables within a limited timeframe. DevCatalog may apply a 48-hour acknowledgment window or similar rules as displayed in the cancellation flow.
Refunds may be issued in full or in part when approved through the dispute process, or in connection with an Order cancellation. DevCatalog may apply an administrative or cancellation fee (up to 10%) depending on the circumstances, payment method costs, and risk factors.
Disputes are reviewed by an internal review team. You agree to provide truthful information and cooperate with our requests. DevCatalog may request on-platform evidence such as messages, files, delivery submissions, milestone approvals, and platform logs.
DevCatalog may determine outcomes including (a) release of funds to the Seller, (b) full or partial refund to the Buyer, (c) rework/clarification requirements, or (d) other remedies we consider appropriate. Our dispute determinations are final for Platform purposes.
If a chargeback or payment reversal occurs, we may place holds, recover funds, and/or limit account functionality while the matter is investigated. Accounts are not automatically suspended solely because a dispute is opened, but fraudulent activity, scams, or policy violations may result in immediate enforcement. Chargeback fees and associated costs may be charged to the responsible party on a case-by-case basis, to the extent permitted by law.
8. Content, Reviews, and Community Standards
You are responsible for the Content you post or transmit. You grant DevCatalog a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your Content solely for operating, improving, and promoting the Platform (including moderation and dispute handling).
Reviews must be honest, relevant, and based on genuine Order experiences. Manipulating reviews, offering compensation for reviews, or retaliatory review behavior is prohibited.
DevCatalog may remove or restrict Content at our sole discretion, including for suspected fraud, policy violations, low-quality listings, or legal compliance.
9. Prohibited Conduct
You may not, and may not attempt to, do any of the following:
- Use the Platform for unlawful purposes or to promote illegal activities.
- Harass, threaten, bully, or discriminate against others; or engage in hate speech.
- Commit fraud, scams, or deceptive practices (including misrepresenting skills, identity, affiliation, or deliverables).
- Request, offer, or process off-platform payments for an Order.
- Infringe, misappropriate, or violate the intellectual property or privacy rights of others; upload stolen code, assets, or content.
- Upload or transmit malware, ransomware, spyware, or other harmful code; or attempt to compromise Platform security.
- Scrape, crawl, reverse engineer, or otherwise extract data from the Platform without our written permission.
- Circumvent, disable, or interfere with security features or access controls; bypass bans or restrictions using VPNs, proxies, or spoofing.
- Spam, mass-message, or use automated means to create accounts, post listings, or send messages without authorization.
- Manipulate ratings, dispute outcomes, or Platform metrics; create fake Orders or fake reviews.
- Impersonate any person or entity, or claim endorsements or partnerships that do not exist.
- Share personal data in violation of law, including without consent where required.
- Post pornographic content or explicit sexual content. Adult or mature-themed game development services may be restricted or removed if not appropriately labeled for mature (M/18+) audiences or if they otherwise violate our policies.
- Use the Platform to facilitate or encourage violence, self-harm, exploitation, or other harmful conduct.
Violations may result in strikes, removal of Content, reduced visibility, payment holds, suspension, or termination, depending on severity.
10. AI-Assisted and AI-Generated Work
AI tools may be used on the Platform only with clear disclosure to the Buyer in the listing and/or Order details as required by our policies.
For clarity, DevCatalog uses the following terms:
- AI-assisted work: The Seller uses AI tools to support human-led creation (for example, brainstorming, refactoring, debugging suggestions, or style references), but the Seller remains the primary author and is responsible for reviewing, validating, and delivering the final work.
- AI-generated work: AI tools generate substantial portions of the deliverable with limited human modification. The Seller remains responsible for quality, originality, licensing compliance, and meeting the agreed requirements.
Sellers must ensure AI use does not violate third-party rights, licenses, or confidentiality obligations. DevCatalog may require additional disclosures or restrictions over time.
11. Intellectual Property and Licensing
Unless otherwise stated in a listing or written agreement between Buyer and Seller, the Seller retains ownership of deliverables until payment for the applicable Order or milestone is fully processed and released.
After payment is processed and released, the Buyer receives the license or ownership rights specified in the Seller's listing for that Order. If a listing does not specify a license clearly, the Buyer receives a limited, non-exclusive license to use the deliverables for the purpose described in the Order.
Buyers and Sellers are responsible for confirming that any third-party assets, libraries, plugins, or dependencies included in deliverables are properly licensed for the intended use.
12. Infringement, Takedowns, and Repeat Violations
We respect intellectual property rights and will respond to credible infringement reports. If you believe Content on the Platform infringes your rights, contact us at support@devcatalog.com with sufficient details to identify the material and your claim.
We may remove allegedly infringing Content promptly and may issue strikes. Repeat or egregious violations may result in account suspension or termination. In appropriate cases, we may follow procedures consistent with the U.S. Digital Millennium Copyright Act (DMCA).
13. Moderation, Enforcement, and Appeals
We may investigate suspected violations, review activity, and take enforcement actions at our sole discretion to protect users and the Platform.
Enforcement may include warnings, strikes, removal of Content, reduced visibility, payment holds, feature restrictions, suspension, or termination. Severe violations may result in immediate termination.
We offer an appeal process for certain enforcement actions. Instructions for appeals will be provided in the relevant notice or through the Platform.
14. Third-Party Services and Links
The Platform may integrate with or link to third-party services (including Stripe). We do not control third-party services and are not responsible for their content, policies, or performance. Your use of third-party services is governed by their terms.
15. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVCATALOG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DEVCATALOG DOES NOT GUARANTEE THAT (A) BUYERS WILL FIND SUITABLE SELLERS, (B) SELLERS WILL OBTAIN WORK, OR (C) ANY PARTICULAR RESULT OR QUALITY WILL BE ACHIEVED. BUYERS AND SELLERS ARE RESPONSIBLE FOR THEIR OWN DECISIONS AND AGREEMENTS.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEVCATALOG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVCATALOG'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES PAID BY YOU TO DEVCATALOG IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
Some jurisdictions do not allow certain limitations of liability; in such cases, liability will be limited to the maximum extent permitted by applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless DevCatalog, Sacred LLC, and our officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to (a) your use of the Platform, (b) your Content, (c) your violation of these Terms, or (d) your violation of any law or third-party rights.
18. Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the fullest extent permitted by law, you and DevCatalog agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform (each, a "Dispute") will be resolved by binding, individual arbitration rather than in court, except that either party may bring claims in small claims court if eligible and within that court's jurisdiction.
Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules. Unless you and DevCatalog agree otherwise, arbitration will take place in Washington (or remotely by video/phone where permitted). The arbitrator may award the same damages and relief that a court could award.
You may opt out of this arbitration agreement by sending written notice to support@devcatalog.com within 30 days from account creation. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of the arbitration agreement.
CLASS ACTION WAIVER: YOU AND DEVCATALOG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
If applicable law in your jurisdiction restricts arbitration or class action waivers (for example, certain consumer protections), this section will apply only to the extent permitted.
19. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles, except where preempted by federal law. If a Dispute is determined not to be subject to arbitration, you and DevCatalog agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Washington State, unless applicable law provides otherwise.
20. Changes to the Platform or Terms
We may modify the Platform or these Terms from time to time. We will post the updated Terms on the Platform and update the "Last updated" date. If changes are material, we may provide additional notice as required by law. Continued use of the Platform after changes become effective constitutes acceptance.
21. Termination
You may stop using the Platform at any time. We may suspend or terminate your account and access to the Platform at any time for any reason, including suspected violations, risk, legal compliance, or platform integrity. We may also remove or restrict Content.
If your account is terminated, you remain responsible for any outstanding obligations. Sections that by their nature should survive termination (including Sections 11 through 19) will survive.
Account Deletion: You may request permanent deletion of your account and personal data through our Privacy Request Portal. Deletion requests are processed within 30 days, subject to legal retention requirements.

23. Miscellaneous
Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
No Waiver: Failure to enforce a provision is not a waiver of our right to do so later.
Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and DevCatalog regarding the Platform.
